These Terms govern your use of Paperwright, including paperwright.dev, app.paperwright.dev, the Paperwright API and SDK (the "Service"), provided by bldr arena LLC, a Wyoming limited liability company ("we", "us"). By creating an account or using the Service you agree to these Terms. If you use it for an organization, you agree on its behalf and confirm you are allowed to.
Your account
You must give a valid email address, keep your password and API keys secret, and be at least 16. You are responsible for what happens under your account and its API keys, and for the people you invite to your workspace. Tell us at info@paperwright.dev if you think your account has been misused.
Your content
You keep all rights to the templates, data, files and documents you put into or produce with the Service ("Your Content"). You give us a limited permission to host, copy, process and display Your Content only to run the Service for you, including sending it to our service providers as described in the Privacy Policy. You confirm you have the rights to Your Content and that using it with the Service does not break the law or anyone else's rights.
AI features
Some features use AI to draft or change a template. AI output can be wrong or incomplete, so check every document before you rely on it or send it to anyone. You are responsible for the documents you create, including invoices, payslips and other records that must meet legal or tax rules. Using an AI feature sends what you give it to our AI provider, as the Privacy Policy explains.
Acceptable use
Do not use the Service to:
- break the law, or create documents meant to deceive, such as forged invoices, certificates or IDs;
- infringe anyone's intellectual property or privacy, or send spam with the batch email feature;
- upload malware, probe or attack the Service, or get around its limits or security;
- resell or offer the Service as your own without our written agreement.
We may suspend or remove content or accounts that break these rules, and will tell you why when we reasonably can.
Beta, plans and fees
Paperwright is currently in an open beta and is free to use. Usage limits apply to prevent abuse and may change. Before we introduce paid plans we will tell you by email, and nothing will be charged without your agreement to the price. Paid plans, when they exist, will renew until cancelled and may be cancelled at any time for the end of the current period; fees already paid are not refundable unless the law requires it.
Availability and changes
We work to keep the Service available and your data safe, but during the beta especially, features may change, be added or be removed, and there may be interruptions. Keep your own copies of anything critical: you can download your PDFs at any time.
Ending your account
You can stop using the Service and ask us to delete your account at any time by writing to info@paperwright.dev. We may suspend or end your access if you seriously or repeatedly break these Terms, or if we have to by law. If we end the Service as a whole, we will give at least 30 days' notice so you can export your content.
Our property
The Service, its software, design and brand belong to us and our licensors. These Terms do not give you rights to them beyond using the Service as offered. If you send us feedback, we may use it without obligation to you.
Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement, and we do not promise the Service will be uninterrupted or error-free.
Limitation of liability
To the fullest extent the law allows, neither we nor our suppliers will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and 100 US dollars. Some places do not allow these limits, so they may not fully apply to you.
Indemnity
You will defend and hold us harmless from claims by third parties arising from Your Content or your breach of these Terms, and cover the reasonable costs of those claims.
Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction. Nothing here takes away rights you have as a consumer under the laws of the country where you live.
Changes to these Terms
We may update these Terms. If a change is significant, we will tell you by email or in the app at least 14 days before it takes effect. Continuing to use the Service after that means you accept the new Terms.
General
These Terms, with the Privacy Policy, are the whole agreement between you and us about the Service. If a part is found unenforceable, the rest still applies. Not enforcing a right is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a merger or sale of the business.
